Vault Addendum

Physical Card Custody --- Last Updated: July 1, 2026

This Vault Addendum (this "Addendum") supplements the NettyWorth Terms of Service (the "Base Terms") and applies only if and when you use NettyWorth's optional service for the custody and tokenization of physical trading cards (the "Vault Service"). Capitalized terms used but not otherwise defined in this Addendum have the meanings given to them in the Base Terms or in Section 2 below.

1. Relationship to the Base Terms; Order of Precedence; Ring-Fence


1.1 Incorporation; Order of Precedence

The Base Terms are incorporated into this Addendum by reference. This Addendum governs the Vault Service and, solely with respect to the Vault Service and the custody, tokenization, redemption, and delivery of physical Cards, controls over any conflicting provision of the Base Terms. For all other matters, the Base Terms govern. Except as expressly modified in Section 7 (Risk of Loss, Insurance and Limitation of
Liability), the dispute-resolution, governing-law, indemnification, limitation-of-liability, and general provisions of the Base Terms apply to this Addendum and to the Vault Service.

1.2 Separate Assent

By depositing, tokenizing, storing, or redeeming any Card or otherwise using the Vault Service, you accept this Addendum and agree to be bound by its terms. By acquiring a Token --- whether from NettyWorth, another holder, or on any secondary market --- you accept this Addendum with respect to the Card to which that Token corresponds and agree to be bound by its terms as a condition of exercising the redemption right embedded in that Token. The redemption right, and the corresponding obligations and limitations under this Addendum, travel with the Token.

1.3 Ring-Fence; Continuous Self-Custody of the Token

The Vault Service concerns the physical Card only. NettyWorth does not, at any time, take custody, possession, or control of any Token, your Wallet, your private keys, or any other cryptoasset. You retain sole self-custody of, and sole responsibility for, the Token at all times. Nothing in this Addendum, and nothing about the Vault Service, gives NettyWorth possession or control of any Token, Wallet, key, or cryptoasset, and nothing in this Addendum shall be construed to make NettyWorth a custodian of any digital asset.

2. Definitions

The following definitions apply throughout this Addendum. Terms defined in the Base Terms have the same meaning here unless this Addendum expressly provides otherwise; where this Addendum and the Base Terms define the same term differently, this Addendum controls for matters within its scope (see Section 1.1).

  • "Card" means a specific, individual physical trading card deposited into and held in vault custody under the Vault Service, identified by its grading/certification number, grade, and serial number (or, for any item NettyWorth elects to accept that is not so graded, by an equivalent unique identifier). Each Card is a distinct, individually identified item and is not a fungible or interchangeable unit.

  • "Token" means the on-chain record that points to an off-chain contractual right to redeem the specific Card to which it corresponds. A Token is not the Card, is not title to or ownership of the Card, is not a security, and is not a document of title. For purposes of the Vault Service, this definition controls over any contrary description of "Digital Token" in the Base Terms.

  • "Vault Provider" means a third-party storage provider with which NettyWorth contracts to store Cards. The Vault Providers currently are PSA (the PSA Vault, operated by Collectors) and Alt (Alt Platform, Inc.). NettyWorth may add, substitute, or remove Vault Providers at any time in its discretion, as described in Section 3.

  • "Vault" means a storage facility operated by a Vault Provider at which Cards are stored.

  • "Custody" describes the relationship created by the Vault Service: subject to the terms and conditions herein, NettyWorth holds each Card for the benefit of the Token holder to which that Card corresponds, owes a duty to deliver the Card on valid Redemption, and does not hold the Card for its own account or as part of its general inventory, as set out in Section 3.

  • "Redemption" means the process by which an Eligible Holder surrenders and Burns a Token in exchange for Delivery of the corresponding Card, as set out in Section 8.

  • "Eligible Holder" means a holder of a Token who, at the time of a Redemption request, satisfies all eligibility requirements of the Base Terms and this Addendum, including that the holder is at least 18 years old, is not a sanctioned or otherwise prohibited person and is not located in a sanctioned or embargoed jurisdiction, and has completed any identity-verification, sanctions-screening, and other checks NettyWorth requires in its reasonable discretion, consistent with applicable law.

  • "Burn" means the permanent destruction or invalidation of a Token so that it can no longer be transferred or used to request Redemption.

  • "Delivery" means NettyWorth's tender of a Card to a shipping carrier for outbound shipment to an Eligible Holder following a valid Redemption. Delivery is deemed complete upon tender to the carrier, as set out in Sections 8 and 9.

  • "Declared Value" means the value assigned to a Card at the time of its deposit into the Vault Service, determined under NettyWorth's then-current valuation method. NettyWorth's recovery in respect of a Card may be limited to the applicable Vault Provider's determination of that Card's value, and Declared Value is used together with Vault Recovery to size NettyWorth's liability cap in Section 7.

  • "Vault Recovery" means the amount, if any, that NettyWorth actually recovers from the applicable Vault Provider in respect of a lost, damaged, or undelivered Card, after application of that Vault Provider's liability caps, valuation determinations, disclaimers, releases (including releases of the provider's own negligence or gross negligence), notice and claim deadlines, and carrier exclusions.

3. Custody Structure

3.1 Custody; Held for Your Benefit

NettyWorth holds each Card for the benefit of the Token holder to which that Card corresponds and owes a duty to deliver that Card on valid Redemption. NettyWorth does not hold any Card for its own account or as part of its general inventory, and does not treat any Card as a balance-sheet or proprietary asset. NettyWorth does not act as your agent in dealing with the Vault Providers, and NettyWorth is not a custodial agent, escrow agent, fiduciary, trustee, or investment adviser with respect to any Card or Token.

3.2 NettyWorth's Delivery Covenant

NettyWorth covenants directly to you to deliver the specific Card corresponding to your Token upon a valid Redemption, subject to and in accordance with this Addendum (including the eligibility, refusal, vault-outtake, risk-of-loss, and limitation-of-liability provisions below).

3.3 Choice and Substitution of Vault Providers

NettyWorth may select, use, change, substitute, or remove Vault Providers, and may move any Card between Vaults, at any time and in its sole discretion, without notice to you. The allocation of any Card between or among Vault Providers is NettyWorth's decision and need not be disclosed to you. You have no right to know, select, direct, or inspect the specific Vault or Vault Provider holding your Card.

3.4 No Physical Inspection or Visitation

You have no right to physically inspect, visit, or take possession of
your Card except through Redemption and Delivery under this Addendum.

4. Sub-Custodian Relationship

NettyWorth holds your Card and, in turn, places it with the Vault Providers as its sub-custodians, contracting with each Vault Provider in its own name as that provider's customer. The protections NettyWorth is able to give you are limited by what the Vault Providers actually give NettyWorth. NettyWorth may use third-party service providers --- including the Vault Providers --- to perform any part of the Vault Service, and deals with them in its own name. Your sole counterparty for the Vault Service is NettyWorth.

4.1 Recovery Limited by Vault-Provider Terms

NettyWorth's ability to compensate you for loss, damage, or non-delivery of a Card is limited to what NettyWorth actually recovers from the applicable Vault Provider ("Vault Recovery"), plus any insurance NettyWorth elects to carry (see Section 7). NettyWorth does not represent that you have any direct claim against any Vault Provider and affirmatively disclaims that it has established or will establish any claim on your behalf.

4.2 NettyWorth as Record Customer; Bare Custodian

To each Vault Provider, NettyWorth appears as the account customer and record holder of the Cards in its vault account. As between you and NettyWorth, NettyWorth holds that record position as bare custodian for Token holders, and not as beneficial owner, supported by the card-level ledger described in Section 11.

5. Token-to-Card Relationship

5.1 One Token, One Specific Card

Each Token corresponds to exactly one specifically identified Card, identified by its certification number, grade, and serial number. The Token points to an off-chain right to redeem the corresponding Card; this Addendum, and not the Token, is the instrument that moves the contractual rights in the Card. Upon valid Redemption you are entitled to that specific Card, and not to a substitute card of like kind, grade, or value.

5.2 Physical Commingling; No Fungibility

Cards may be stored physically alongside other cards (physical commingling), including, where a Vault Provider permits only a single customer account, under a single NettyWorth account at that provider. Physical commingling does not change the 1:1 mapping: you remain entitled to your specific identified Card. The Vault Service does not offer, and this Addendum does not create, a fungible or "redeem-equivalent" arrangement under which you would be entitled merely to an equivalent card.

5.3 Transfer of Contractual Rights

By transferring your Token, you transfer your contractual rights in the specific Card --- including the right of Redemption --- to the transferee. By acquiring a Token, a transferee accepts this Addendum and becomes bound by its terms as set out in Section 1.2. The Token is not itself title to or ownership of the Card. Token transfers are permissionless and occur on-chain. NettyWorth does not control, approve, intermediate, reverse, or otherwise effect Token transfers, and never holds the Token. NettyWorth is not responsible for any transfer you did not intend, including transfers resulting from lost or compromised keys, fraud, or theft of the Token. Possession of the Token is the gateway to Redemption, and you must secure your Token, Wallet, and keys accordingly. Anyone who holds the Token may attempt Redemption, and NettyWorth may act on Token possession together with the eligibility and screening checks described in Section 8.

6. Risk of Loss, Insurance and Limitation of Liability

6.1 No Insurance Representation

NettyWorth makes no representation or warranty that any Card is insured, backed, protected, guaranteed, or safe. Any insurance a Vault Provider may maintain is the provider's own, runs to NettyWorth and not to you, may be modified or discontinued at the provider's discretion, and may not cover a given loss. NettyWorth may, but is not obligated to, carry its own insurance covering Cards; any such insurance is for NettyWorth's account, and your recovery on account of it is limited to amounts NettyWorth actually receives and elects to apply to your Card, subject to the cap in Section 6.3.

6.2 Allocation of Loss Events

As between you and NettyWorth: (a) loss, damage, or theft of a Card in storage is addressed by the cap in Section 6.3; (b) loss or damage of a Card in transit --- inbound, outbound, or on a vault-to-vault transfer --- is allocated under Section 8; and (c) a Vault Provider's insolvency, breach, lien, hold, or self-help remedy is addressed under Sections 4 and 10 and is in all cases subject to the cap in Section 6.3.

6.3 Limitation of Liability; Liability Cap

To the maximum extent permitted by applicable law, NettyWorth's total liability to you in respect of any Card --- including for loss, damage, theft, non-delivery, or any failure of the Vault Service, from all causes and in the aggregate for that Card --- shall not exceed the lesser of (a) the Declared Value of that Card at deposit and (b) NettyWorth's actual Vault Recovery for that Card, plus any amount NettyWorth actually receives under insurance it elects to carry and applies to that Card. NettyWorth shall not be liable for any consequential, incidental, special, indirect, exemplary, or punitive damages, or for any lost profits, lost market value, or market appreciation of any Card, even if advised of the possibility of such damages. Nothing in this Section 6 limits NettyWorth's liability for its own gross negligence or willful misconduct in performing its own functions (including intake, packing, handling, and recordkeeping), to the extent such liability may not be limited under applicable law.

6.4 Valuation

Declared Value is determined under NettyWorth's then-current valuation method. A Vault Provider may value a Card differently, and NettyWorth's Vault Recovery --- and therefore your recovery under Section 6.3 --- may be substantially less than Declared Value or market value.

6.5 Claim Notice Deadline

You must notify NettyWorth in writing of any claim relating to loss, damage, or non-delivery of a Card as soon as reasonably practicable and in time for NettyWorth to preserve its own claim against the applicable Vault Provider within that provider's notice and claim deadlines, and in any event (i) for loss of, or a discrepancy in, a Card at deposit or in storage, within ten (10) days after the earlier of NettyWorth's notice to you that the Card has been accepted into a Vault and the date the loss or discrepancy is or should reasonably have been discovered, and (ii) for damage to, or a discrepancy in, a Card that is discoverable on receipt of the Card following Delivery, within three (3) business days after you receive the Card. If a Vault Provider's applicable notice or claim deadline is shorter than the period stated above, that shorter deadline controls and you must notify NettyWorth in time for NettyWorth to meet it. Claims not made within the applicable period are waived to the maximum extent permitted by law.

6.6 Time to Bring a Claim

Any claim or action arising out of or relating to the Vault Service or a Card must be commenced within one (1) year after the cause of action accrues, except where a shorter period applies under the Base Terms or applicable law; otherwise, the claim or action is permanently barred.

7. Redemption

7.1 Eligibility Gate

Redemption is available only to an Eligible Holder. Before completing any Redemption, NettyWorth may require that the requesting holder be at least 18 years old, complete identity verification (KYC), pass sanctions and denied-party screening, and satisfy any additional measures NettyWorth requires in its discretion.

7.2 Redemption Mechanics; Burn Before Ship

To redeem, you must submit the Token to NettyWorth or to a designated address for Burn and provide a valid shipping address and contact information. The Token is intended to be Burned --- permanently destroyed or invalidated --- before the corresponding Card is released for shipment, so that a single Card cannot be claimed more than once. Following Burn and any required vault outtake, NettyWorth arranges shipment of the Card.

7.3 Shipping at Your Cost; No Firm Timing

Redemption, outtake, authentication, handling, and shipping fees are at your cost (see Section 12). You are solely responsible for all taxes, customs duties, import charges, and other governmental fees arising from the Redemption, shipment, or Delivery of a Card. Delivery timelines are estimates only and depend on the applicable Vault Provider's outtake and processing times, carrier availability, and customs clearance, all of which are outside NettyWorth's control. NettyWorth disclaims any firm redemption or delivery timing and any service-level commitment except as expressly stated by NettyWorth in writing.

7.4 Subject to Vault Outtake and Vault Rights

Delivery requires NettyWorth to outtake the Card from the Vault Provider. The Card is delivered subject to the Vault Provider's outtake process and to any vault hold, seizure, or return rights described in Section 9. NettyWorth's covenant to deliver the Card is satisfied upon tender of the Card to the carrier, as provided in Section 8.

7.5 Refusal, Delay, and Conditioning of Redemption

NettyWorth may refuse, delay, suspend, or condition any Redemption where it suspects fraud, theft, or counterfeiting; where there are sanctions, legal-process, or court-order concerns; where KYC or screening is incomplete; or where there are unresolved or competing claims to the Token or the Card. NettyWorth has no obligation to adjudicate competing claims and may withhold Delivery, or interplead or deposit the Card or its value, pending resolution (see Section 9).

7.6 Finality; No Re-Tokenization

Redemption is final. A redeemed Card is not re-tokenized unless and until it is later re-deposited into the Vault Service as a new transaction.

7.7 Grade-Guarantee Pass-Through

To the extent a Vault Provider or grader provides an authenticity or grade guarantee, that guarantee runs to NettyWorth as the provider's customer, and the provider's remedy --- which may be limited to purchasing the Card at the value it would have had at the correct grade, or to refunding a grade differential --- is a capped, vault-level remedy. NettyWorth does not itself guarantee the authenticity or grade of any Card, and any pass-through of a vault-level guarantee to you is limited to what NettyWorth actually recovers under that guarantee.

8. In-Transit Risk (Shipping)

8.1 Risk Passes on Tender to Carrier

For every shipment of a Card --- inbound to a Vault, outbound on Delivery, and on any vault-to-vault transfer --- risk of loss passes to and is borne by you upon tender of the Card to the carrier, and Delivery is deemed complete upon such tender. NettyWorth is not liable for loss or damage occurring while a Card is in a carrier's custody.

8.2 Shipping Costs and Insurance

You are responsible for shipping costs and for insuring shipments. For outbound Delivery, NettyWorth may require you to purchase, or to pay NettyWorth's cost of arranging on your behalf, shipping insurance. NettyWorth does not itself insure shipments and makes no representation that any shipment is insured.

8.3 Pass-Through of Carrier Exclusions

Each Vault Provider disclaims liability for loss while a Card is in a carrier's custody, including once a Card has been released for return. Those carrier exclusions flow through to you, and NettyWorth's Vault Recovery does not include any amount excluded under them. NettyWorth's reasonable-care standard applies only to NettyWorth's own packing and handling of a Card while the Card is in NettyWorth's own possession, and not to the acts or omissions of any carrier or Vault Provider.

9. Double-Redemption, Desync, and Stolen or Fraudulent Tokens

9.1 Anti-Double-Redemption

Token Burn is the trigger for Delivery. If a Card is gone but a Token still circulates, or a Token is Burned but the corresponding Card cannot be located or delivered, NettyWorth's liability is limited to the cap in Section 6.3, and NettyWorth may freeze, re-map, or (if within its control) Burn a Token as necessary to keep the Token and the Card synchronized.

9.2 Stolen or Fraudulent Tokens

NettyWorth may freeze, refuse, or condition Redemption, and may comply with legal process, court orders, and law-enforcement requests, in connection with any Token or Card it believes may be stolen, fraudulent, or subject to a competing claim. NettyWorth has no obligation to adjudicate competing claims and may withhold the Card, or interplead or deposit the Card or its value, pending resolution. Where a Redemption is requested by a holder who is a thief or who acquired the Token from a thief, NettyWorth may apply the discretionary-refusal and legal-process approach in this Section rather than automatically honoring the request, regardless of any priority the holder may have in the Token.

9.3 Vault Determination Controls the Physical Card

For a Card held by a Vault Provider, the Vault Provider's determination controls the physical Card and may override NettyWorth's redemption logic and any holder priority. A Vault Provider may, among other things, place administrative holds, remove listings, return a Card to the person it determines to be the rightful owner, confiscate or re-slab a counterfeit or tampered Card (which may change or destroy the certification or serial number the Token points to --- a "desync" event), reclaim or recharge amounts, and charge NettyWorth its costs, in each case with limited or no liability to NettyWorth. NettyWorth disclaims liability for any vault-side hold, seizure, return, or confiscation.

9.4 Remedy on Confiscation or Desync

If a Card is confiscated, seized, re-slabbed, or returned to another person by a Vault Provider, or is otherwise rendered non-deliverable, NettyWorth may freeze or Burn the corresponding Token; the Card is handled in accordance with the Vault Provider's determination; you are not entitled to a substitute Card; and your recovery, if any, is limited to the cap in Section 6.3.

10. Insolvency, Segregation and Anti-Encumbrance

10.1 Disclosure of Vault Liens and Self-Help

You acknowledge and agree that a Vault Provider may assert liens, security interests, administrative holds, or self-help remedies over Cards held in NettyWorth's vault account with that provider, including a security interest in all stored items and a right to liquidate them for unpaid fees or other reasons. Those rights could affect the availability of, and your ability to recover, a Card in NettyWorth's insolvency or in the Vault Provider's insolvency. NettyWorth does not represent that Cards are bankruptcy-remote from any Vault Provider.

10.2 Card-Level Ledger

NettyWorth maintains a card-level ledger mapping each certification number to its corresponding Token at all times. This ledger is the mechanism by which Cards are identified as Token-holder property notwithstanding single-account, commingled storage at a Vault Provider.

11. Your Representations and Indemnity

11.1 Your Representations

For each Card you deposit or cause to be deposited into the Vault Service, you represent and warrant, on a continuing basis, that: (a) you are the lawful owner of the Card and have good title to it; (b) the Card was lawfully acquired and lawfully imported; (c) the Card is free of all liens, security interests, encumbrances, and competing or adverse claims; (d) the Card is not counterfeit, altered, tampered with, or stolen; (e) you have full authority to deposit and tokenize the Card; and (f) you are not, and are not acting for, a sanctioned or otherwise prohibited person.

11.2 Indemnity

You will indemnify, defend, and hold harmless NettyWorth from and against any claim, loss, liability, cost, or expense (including reasonable attorneys' fees) arising out of or relating to any breach of your representations in Section 11.1, or any claim by a Vault Provider against NettyWorth in respect of your Card, including any indemnity NettyWorth owes a Vault Provider on account of your Card. This indemnity is in addition to any indemnity in the Base Terms.

11.3 Authentication and Removal Rights

NettyWorth and the Vault Providers may authenticate, grade, inspect, and test any Card, and may refuse, remove, hold, or surrender any Card that is, or is suspected to be, counterfeit, altered, tampered with, stolen, or subject to a competing claim or legal process. You will cooperate with provenance and chain-of-title inquiries.

11.4 Limits of Indemnity

You acknowledge that your indemnity mitigates but does not eliminate NettyWorth's exposure to the Vault Providers, that a responsible user may be judgment-proof or anonymous, and that permissionless transfer may break the chain of recourse. NettyWorth's insurance, if any, and the discretionary refusal and freeze rights in Sections 7 and 9 remain the practical backstops.

12. Dormancy, Abandonment and Unclaimed Property

If a Token is lost or destroyed, or the holder cannot complete KYC or cannot be reached, the corresponding Card may become unredeemable, potentially permanently. NettyWorth may hold such a Card, charge dormancy and administrative fees, and ultimately dispose of or escheat the Card, subject to this Section and applicable law. Unclaimed-property and escheat laws may require holders of abandoned tangible property to report and remit it to a state after a dormancy period; dormancy periods are state-specific.

13. Card-Specific Disclaimers

13.1 No Guarantee of Condition, Grade, Value, or Liquidity

NettyWorth does not guarantee the condition, grade stability, authenticity, market value, or liquidity of any Card. The Vault Service is a service to collect, own, store, trade, and redeem Cards only. The Vault Service does not offer, and NettyWorth does not provide, any fractional interest in a Card, any pooling of Cards, or any program marketed as offering investment return, appreciation, or yield; each Token corresponds to one whole, specifically identified Card as provided in Section 5.

13.2 Reliance on Graders and Vault Providers; Grade-Change Risk

NettyWorth relies on the Vault Providers and the original grading companies for authentication, grading, and quality assurance, and does not independently authenticate or grade Cards. The Vault Providers disclaim the accuracy of grading and of counterfeit detection and may re-slab or re-grade a Card. NettyWorth does not warrant authenticity or grade beyond what flows from, and is recoverable from, the Vault Providers, and NettyWorth may update Token metadata or re-map a Token if a Card is re-graded or re-slabbed and its certification or serial number changes, consistent with the absence of any guarantee of grade stability.

13.3 Vault Data and Pricing Indices

NettyWorth disclaims the accuracy of any data provided by a Vault Provider and of any vault pricing index or valuation tool, and does not adopt or guarantee any such data or index.

13.4 Images, Data, and Intellectual Property

You do not acquire ownership of Card images or Card data through the Vault Service. NettyWorth licenses to you only what NettyWorth is itself permitted to sublicense. You grant NettyWorth, and authorize NettyWorth to grant the Vault Providers, the image and data rights the Vault Providers require in connection with the storage, authentication, grading, and handling of your Card. The Vault Providers' intellectual-property and data terms differ: a Vault Provider may own the data compiled about, and the images of, a Card, or may take a broad license to your data and own derived usage data. Onward sharing of your data to the Vault Providers and their partners is addressed in the Privacy Policy.

13.5 Vendor Dependency; Service Continuity

The Vault Service depends on third-party Vault Providers that may unilaterally amend their terms and fees, modify or eliminate features, cut interoperating services, suspend or terminate service, or assign their agreements. NettyWorth's ability to perform its covenants depends on relationships it does not control. NettyWorth reserves the right to change Vault Providers, fees, and features; disclaims firm timing; and is not liable for delays or failures caused by a Vault Provider or by any other event beyond its reasonable control (force majeure), as further provided in the Base Terms.

14. Survival; Relationship to the Base Terms

The provisions of this Addendum that by their nature should survive --- including Sections 6 through 11 and Section 13 --- survive termination of the Vault Service or of your use of the Service. Except as expressly modified by this Addendum, the Base Terms, including their dispute-resolution, arbitration, class-action waiver, governing-law, indemnification, and general provisions, govern this Addendum and the Vault Service.
